Good Egg Logo – licence agreement

These terms and conditions set out the basis on which the User is licensed to use the Good Egg Logo.
Terminology
In these terms and conditions:
- references to ‘the User’ are to the organisation to which the Confirmation Letter is addressed and which has duly executed the Confirmation Letter; and
- references to ‘GWM’ are to Good With Money.com Limited, a private limited company whose registered office is at 4 St Georges Road, Sevenoaks, Kent, TN13 3ND (registered company number 09662558).
Background
- The User has successfully completed the Good Egg Certification Process; and
- GWM wishes to licence the User to use the Good Egg Logo.
The Parties agree as follows:
- Interpretation
| 1.1 | ‘Agreement Date’ | The date on which GWM sent the Confirmation Letter to the User, subject to the parties entering into this Agreement; |
| 1.2 | ‘Balance’ | [the cost of the Good Egg mark for one year, minus the application deposit]; |
| 1.3 | ‘Certification Criteria’ | The conditions set out by the Good Egg Certification Process that must be met in order for certification to be granted, as may be updated by GWM from time to time, provided the User is given three months’ notice in writing of such updates (which may include notification via email); |
| 1.4 | ‘Certification’ | Certification of the User pursuant to the Good Egg Certification Process; |
| 1.5 | Confirmation Letter’ | The letter sent by GWM to the User confirming that the User meets the Certification Criteria; |
| 1.6 | ‘Conflicting Brand’ | Any name, logo or other element which is confusingly similar to the Good Egg Logo (including but not limited to the name ‘Good Egg’ and similar names); |
| 1.7 | ‘Ethical Screening’ | Ethical Screening Limited, a company incorporated in England and Wales under company number 04214777 whose registered address is at Third Floor, Formal House, 60 St. Georges Place, Cheltenham, Gloucestershire, GL50 3PN; |
| 1.8 | ‘Good Egg Certification Process’ | The certification process carried out by Ethical Screening in order to assess the User’s suitability to use the Good Egg Logo;

| 1.9 | ‘Good Egg Logo’ | The logo or logos listed in Schedule 1;
|
| 1.10 | ‘Licence’ | The Licence granted in clause 2; |
| 1.11 | ‘Panel’ | The panel of industry experts which assists Ethical Screening with the Good Egg Certification Process; |
| 1.12 | ‘Term’ | The term specified under clause 3 below; and
|
| 1.13 | ‘Territory’ | The United Kingdom, the Isle of Man and the Channel Islands. |
- Licence
In consideration for payment of the Balance within 14 days of the Agreement Date, GWM licences the User as non-exclusive licensee in the Territory to use the Good Egg Logo for the Term in order to denote that the User meets the Certification Criteria, provided such use is in accordance with this Agreement.
- Term
The Licence lasts for one year beginning with the Agreement Date unless renewed under clause 13 or terminated under clause 14.
- GWM’s Obligations
- GWM undertakes to use its reasonable endeavours during the Term:
- to promote the Good Egg Logo and the certification scheme connected with it;
- To publish basic information about the User at the website good-with-money.com, and to ensure such information is up to date, subject to the User notifying GWM of any changes; and
- to protect any and all intellectual property in the Good Egg Logo.
- GWM undertakes to use its reasonable endeavours during the Term:
- User’s Obligations
- The User shall:
- not use the Good Egg Logo, or any logo or trade mark similar to it, other than as authorised by this Agreement;
- not do anything likely to damage GWM’s reputation or name or the goodwill attaching to them;
- comply with any brand guidelines concerning use of the Good Egg Logo issued by GWM from time to time; and
- comply with all relevant laws and regulations in the provision of its goods and/or services.
- The User shall not use the Good Egg Logo in any manner which GWM may reasonably consider to be misleading. This includes but is not limited to:
- use which conveys or implies that the Good Egg Logo or any Conflicting Brand is a trade mark or a badge of origin in respect of the User or any of its goods and/or services;
- use in any manner which may suggest that GWM endorses any party, product or service; and
- use in any manner that represents or suggests that the Good Egg Logo is a guarantee of quality, service or financial benefit of the goods and/or services provided by the User or any other product or service.
- The User shall:
5.3 The User will not say, do, or omit to do anything which may convey or imply any kind of endorsement by the Panel or any member of it, or by Ethical Screening. The User shall not refer to Ethical Screening or any member of the Panel without GWM’s prior written consent.
- The User shall not and shall not permit any other person to:
- during or after the Term in any part of the world use, attempt to register as a trade mark, or otherwise claim rights in the Good Egg Logo or any Conflicting Brand, other than as authorised by this Agreement;
- say, do, or omit to do anything which may denigrate the value of the Good Egg Logo, or render invalid or otherwise compromise any trade mark registration for the Good Egg Logo;
- say, do, or omit to do anything which may convey that it has any right, title or interest in or to the ownership of any intellectual property in the Good Egg Logo or any Conflicting Brand except under the terms of this Agreement; or
- use the Good Egg Logo or any Conflicting Brand other than as authorised by this Agreement.
- Publicity
GWM may identify the User in publicity and advertising materials for the purposes of advertising and promoting the Good Egg Logo and the certification scheme to which it relates.
- Warranties and Indemnities
- GWM warrants that it owns the copyright in the Good Egg Logo. GMW gives no warranty that use of the Good Egg Logo does not infringe the rights of any third party. The User acknowledges that use of the Good Egg Logo is at its own risk.
- The User acknowledges that GWM shall not be liable for any losses incurred by the User whether as an indirect or indirect result of use of the Good Egg Logo or otherwise. The User indemnifies GWM in respect of any losses incurred by GWM arising from the User’s use of the Good Egg Logo
- Disclaimer
- The User shall ensure that the disclaimer text at Schedule 2 prominently appears on all materials including electronic materials on which it uses the Good Egg Logo.
- Where the Good Egg Logo is used on electronic media such as web pages, the User may, as an alternative to displaying the full disclaimer, publish a prominent electronic link featuring the language ‘To find out more about the Good Egg Logo, click here’ or equivalent language. That electronic link shall provide the user of the electronic media with access to a webpage whose sole or primary content is the disclaimer text at Schedule 2.
- Variations of the Good Egg Logo
The User may, with GWM’s prior written consent, which GWM may grant or withhold at its absolute discretion, use variations of the Good Egg Logo which differ as to colour and/or configuration, as may be reasonably necessary to match the general appearance of the User’s marketing materials. The provisions of this Agreement shall apply in respect of the use such variations of the Good Egg Logo.
- Assigning and Sub-Licensing
- GWM may transfer any of its rights or delegate any of its duties under this Agreement.
- The User shall not transfer, license, sub-license or otherwise part with possession of the benefit or burden of this Agreement without the prior written consent of GWM, which GWM may grant or withhold at its absolute discretion.
- Protection of the Good Egg Logo
- Use by the User of the Good Egg Logo shall not operate to transfer to the User any right in respect of the Good Egg Logo. The User acknowledges that all rights in the Good Egg Logo including any goodwill associated with it belong to and shall remain vested in GWM.
- If the User becomes aware of any unauthorised use of the Good Egg Logo or of any infringement of any intellectual property in the Good Egg Logo or of any claims or actions in connection with the Good Egg Logo, it shall promptly notify GWM with full details.
- The User may not bring, defend or settle any action in relation to the Good Egg Logo. GWM may in its sole discretion bring or defend an action but shall not be obliged to bring or defend any proceedings.
- Confidentiality
- Each party acknowledges that all information received by it from the other party is of a confidential nature and has or will have been communicated to it in the strictest confidence on terms requiring it not to divulge or permit such information to be divulged to third parties other than to a party’s professional advisers or as may be required by law, nor to permit such information to be used by third parties and not to use such information so as to gain unfair advantage over or compete with the other party at any time whether before or after the expiry of this Licence and each party warrants and undertakes with the other party that it shall not do or omit to do anything which might result in a breach of such terms.
- This clause 12 shall not extend to information which was already in the lawful possession of a party prior to the commencement of the Good Egg Certification Process or which is already public knowledge or becomes so subsequently (other than as a result of a breach of this clause).
- Notwithstanding clause 12.1, GWM may, with the User’s prior written consent, publically disclose such information that may otherwise be confidential as may be reasonably necessary to demonstrate to the general public that the User complies with the Certified Criteria.
- Renewal Process
- Not less than eight weeks before the Licence is due to expire, GWM may at its discretion send the User a written communication (which may be an email communication; ‘the Renewal Communication’) to remind the User of the forthcoming expiry of the Licence, and to enquire whether it wishes to apply to extend the Licence for a further year. Any such communication shall notify the User of the payable application fee for renewal of the Licence (‘the Renewal Application Fee’), which shall be determined at GWM’s discretion.
- Provided the User pays the Renewal Application Fee within four weeks of the date upon which the Renewal Communication is sent, GWM shall conduct or procure be conducted a short assessment to verify that the User continues to meet the Certification Criteria as of the date of the Renewal Communication (‘the Renewal Assessment’). The User shall upon request promptly provide the party conducting the Renewal Assessment with all assistance and information as may reasonably be required to carry out that assessment. GWM shall promptly inform the User of the outcome of the Renewal Assessment.
- If the Renewal Assessment finds that the User meets the Certification Criteria then the Licence shall be extended for a further year. The new date of expiry shall be the relevant anniversary of the Agreement Date.
- If the Renewal Assessment finds that the User does not meet the Certification Criteria then the User shall immediately take all necessary steps to comply with the provisions of clause 15 of this Agreement (‘Consequences of Termination’)..
- The User agrees that the finding of the Renewal Assessment shall be final and that no form of appeal or other form of recourse shall arise in respect of it against GWM or any other party.
- Termination
- GWM may terminate this Agreement with immediate effect by giving notice to the User if the User:
- does anything which in its reasonable opinion brings, or is reasonably likely to bring the Good Egg Logo, the Certification Scheme, or GWM into disrepute;
- uses the Good Egg Logo or any Conflicting Brand other than as is permitted by this Agreement;
- repeatedly breaches any of the terms of this Agreement, or breaches any material term of this Agreement and, where the breach is remediable, GWM has given the User 14 days’ written notice requiring it to remedy the breach and it has failed to do so in the 14 day period;
- becomes insolvent, is adjudicated bankrupt, or compounds with, or makes any arrangement with, or makes a general assignment for the benefit of, its creditors;
- compulsorily or voluntarily enters into liquidation, except for the purposes of a bona fide reconstruction or amalgamation, and with the prior written approval of the User;
- has an administrator, receiver or manager appointed over the whole, or a substantial part, of its undertakings or assets; or
- ceases or threatens to cease to carry on its business.
- This Agreement shall automatically terminate with immediate effect in the event that the User and/or its goods and/or services no longer satisfy the Certification Criteria.
- GWM may terminate this Agreement with immediate effect by giving notice to the User if the User:
- Consequences of Termination
On termination of this Agreement the User will:
- immediately cease to use and desist from using the Good Egg Logo and/or any Conflicting Brand; and
- refrain from any performing any act, or making any statement or omission, which conveys or implies that the User is authorised to use the Good Egg Logo in any respect , or that the User and/or its goods and/or services meet the Certification Criteria.
- Dispute resolution
- If any dispute arises in connection with this Agreement, a director or other senior representative of each Party with authority to settle the dispute will, within 21 days of a written request from one party to the other, meet in a good faith effort to resolve the dispute.
- If the dispute is not wholly resolved at that meeting, the parties agree to enter into mediation to settle such a dispute and will do so in accordance with the CEDR Model Mediation Procedure. Unless otherwise agreed between the parties within 21 days of notice of the dispute, the mediator will be nominated by CEDR. To initiate the mediation a party must give notice in writing (‘ADR notice’) to the other party to the dispute, referring the dispute to mediation. A copy of the request should be sent to CEDR. Unless otherwise agreed, the mediation will start not later than 28 days after the date of the ADR notice.
- No party may commence any court proceedings/arbitration in relation to any dispute arising out of this Agreement until it has attempted to settle the dispute by mediation and either the mediation has terminated or the other party has failed to participate in the mediation, provided that the right to issue proceedings is not prejudiced by a delay.
- Variation
This Agreement may only be amended in writing signed by authorised representatives of GWM and the User.
- Entire Agreement
This Agreement represents the entire agreement between the parties concerning the subject matter of this Agreement, and supersedes all prior agreements, arrangements, negotiations and/or understandings between the parties.
- Non-Waiver
No failure or delay on the part of either party to exercise any right or remedy under this Agreement shall be a waiver of such right or remedy.
- Severability
If any part of this Agreement is held to be invalid, amendments to this Agreement may be made by the addition or deletion of wording as appropriate to remove the invalid part but otherwise retain the remainder of this Agreement to the maximum extent permissible under applicable law.
- Governing Law & Jurisdiction
This Agreement and its interpretation, construction and effect shall be governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
- Exclusion of Third Party Rights
This Agreement does not create any right enforceable by any person who is not a party to it, except that a person who is the permitted successor to, or assignee of the rights of, a party to this Agreement is deemed to be a party to this Agreement and the rights of such successor or assignee shall, subject to and on any succession or assignment permitted by this Agreement, be regulated by the terms of this Agreement.

Schedule 2 – Disclaimer
The Good Egg kitemark from Good With Money.com is not an endorsement of any product or provider and is not a guarantee of investment performance, customer service, satisfaction levels or the financial stability of a firm.
The kitemark demonstrates only that the provider has met the standards laid out in the Good Egg criteria. Good With Money.com will not be held responsible for the default of any company with a Good Egg kitemark; any loss of capital or for any performance of any kind, financial, technological or otherwise, that is lower than expected. Past performance is not a guide to future performance.
Nor will Good With Money.com be held responsible if a provider does not meet a customer’s expectations for environmental, social or industry impact.
The assessment of a firm’s eligibility is in accordance with our own methodology and criteria and we reserve the right to make changes to these from time to time.
The Good Egg kitemark is not affiliated with any trade body or regulator and Good With Money.com cannot take on complaints about any of the firms that are part of this scheme.
Customers with complaints about firms should follow the usual recourse to complain to the firm in the first instance, and then the Financial Ombudsman Service. The Financial Services Compensation Scheme may be able to help with compensation claims for customers who have suffered a financial loss as a result of a firm entering default.
